Operating expenses rose 21% to KES 45.5 billion from KES 37.6 billion, with staff costs climbing to KES 16.3 billion from KES 13.4 billion and loan loss provisions rising to KES 8 billion from KES 5.5 billion. The Board has recommended a final dividend of KES 4.60 per share, bringing the total for the year to KES 7.10 from KES 5.50 in 2024, including an interim dividend of KES 2.50 paid in October 2025. The dividend is payable on or after 26 May 2026 to shareholders on the register at the close of business on 30 April 2026.

The results come as the group disclosed that Nedbank of South Africa issued a notice of intention in January 2026 to acquire approximately 66% of NCBA’s issued share capital through a partial tender offer, which if successful would make NCBA a subsidiary of the South African lender, with the remaining 34% continuing to trade on the Nairobi Securities Exchange.
